Terms of service.

These Terms of Service (“Terms”) govern your access to and use of the Verified Clinic Supply website at verifiedclinicsupply.com (the “Site”) and any wholesale supply program services offered by WPS Inc, d/b/a Verified Clinic Supply (“Verified Clinic Supply,” “we,” “us,” or “our”). By using the Site, submitting an application, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and account verification

The Site and the wholesale supply program are restricted to licensed U.S. medical facilities, weight-management clinics, and registered compounding pharmacies. By submitting any application or order, you represent that:

  • You are at least 18 years old and authorized to bind the facility you represent;
  • The facility holds an active license issued by the appropriate state board and any required federal registration;
  • All information you provide is accurate, current, and complete; and
  • You will promptly notify us of any change to the facility’s license status.

We may verify license status, request supporting documentation, and decline or terminate any account at our sole discretion.

2. No retail or direct-to-consumer sale

Verified Clinic Supply does not sell direct-to-consumer and does not provide medical advice, diagnosis, or treatment. All product is supplied for institutional, professional use under applicable state and federal rules. Nothing on the Site is intended as marketing to patients or the general public.

3. Documentation

Every shipment includes documentation appropriate to the channel, which may include a Certificate of Analysis, packing list, and shipping records. Documentation is delivered electronically and may be retained by the buyer for record-keeping purposes.

4. Orders, pricing, and payment

All quotes are valid for the period stated on the quote. Prices are exclusive of taxes, shipping, and applicable surcharges unless stated otherwise. We may decline or cancel any order before shipment. Payment terms are set out on the applicable invoice or account agreement; past-due balances accrue interest at the maximum rate permitted by law.

5. Shipping and risk of loss

Title and risk of loss pass to the buyer upon delivery to the carrier (FOB origin) unless the account agreement provides otherwise. Delivery timelines are estimates and not guarantees.

6. Returns and complaints

Quality complaints must be reported within 10 business days of receipt of the shipment. We document, investigate, and respond in writing. Returns require prior authorization. Product that has been opened, mishandled, or stored outside of labeled conditions is not eligible for return.

7. Compliance responsibility

Account holders are solely responsible for compliance with the laws, regulations, and standards applicable to their license and practice, including the requirements of their state board of medicine, state board of pharmacy, the U.S. Food and Drug Administration, the U.S. Drug Enforcement Administration, and any other federal or state authority. Account holders are responsible for proper storage, handling, dispensing, and recordkeeping.

8. Intellectual property

The Site and its content (text, graphics, logos, code, and trademarks) are owned by WPS Inc or its licensors and are protected by United States and international intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for legitimate business purposes related to evaluating or using our services. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Acceptable use

You agree not to:

  • Use the Site for any unlawful, deceptive, or fraudulent purpose;
  • Misrepresent your identity, license status, or affiliation;
  • Attempt to access the Site through automated means without our prior written consent;
  • Probe, scan, or test the vulnerability of the Site or interfere with its operation; or
  • Use the Site or our services to support direct-to-consumer sale of product.

10. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Site will be uninterrupted, error-free, or secure.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VERIFIED CLINIC SUPPLY, WPS INC, OR THEIR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES IS LIMITED TO THE VALUE OF THE AFFECTED LOT OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER. We are not liable for clinical outcomes or for downstream decisions made by account holders.

12. Indemnification

You agree to defend, indemnify, and hold harmless WPS Inc, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site or our services, (b) your violation of these Terms, (c) your violation of any law or the rights of a third party, or (d) your storage, handling, dispensing, or use of any product supplied through the program.

13. Termination

We may suspend or terminate your access to the Site or your account, with or without notice, for any reason, including suspected violation of these Terms or applicable law. Sections that by their nature should survive termination (including Sections 7–15) will survive.

14. Changes to the Site or the Terms

We may modify the Site or these Terms at any time. Material changes will be communicated through a notice on the Site or by email to active account contacts. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms is the state or federal courts located in Hillsborough County, Florida, and the parties consent to personal jurisdiction in those courts.

16. Miscellaneous

These Terms, together with any account agreement and the Privacy Policy, constitute the entire agreement between you and Verified Clinic Supply with respect to the Site and the services. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
